本条例旨在就设立一个名为香港电车教育信托基金的信托基金,就管理委员会主席成立为法团以出任该基金的受托人,就该基金的妥善管理,以及就与上述事宜相关的目的订定条文。

第1091章弁言
鉴于─
(a)Hongkong Tramways Limited(以下称为创办人)于1954年拨出资金设立一项信托,以标志香港第一辆电车行驶五十周年,又于1955年就同一目的再拨出资金,而该等资金以现金连同其应累算的利息持有,或已用作购买股份;
(b)创办人已将以下界定的基金及其增益,永久专用作促进和鼓励经甄选的创办人雇员与前雇员子女的教育;
(c)根据第6条成立的委员会主席宜成立为法团,以出任以下界定的信托基金的受托人:
第1091章 第1条简称
本条例可引称为《香港电车教育信托基金条例》。
第1091章 第2条释义
在本条例中,除文意另有所指外─
“委员会”(Committee) 指根据第6条设立的委员会;
“创办人”(Founders) 指Hongkong Tramways Limited;
“创办人雇员”(employee of the Founders) 包括创办人的前雇员。
第1091章 第3条信托基金的设立
(1)现设立一个信托基金,名为香港电车教育信托基金(以下称为基金)。
(2)基金由以下各项组成:现金及股份,连同藉其股息或利息而累积的任何款额、派发的红股及不时给予基金的其他款项及资产,以及不时相当于上述各项的款项或投资项目。
第1091章 第4条受托人成立为法团
(1)委员会主席为基金的受托人(以下提述为受托人),并为一个法人团体须以“The Trustee of the Hong Kong Tramways Educational Trust Fund”的名称命名,而且以该名称永久延续,且在香港所有的法院可以和必须以该名称起诉与被起诉,以及可以和必须备有和使用法团印章,亦可不时破毁、更换、更改和重新制造法团印章。
(2)受托人获赋权出任受托人,并于出任期间有权获取、购买、取得、持有和享用任何性质或种类以及位于任何地点的土地、建筑物、宅院或物业单位,以及接受该等土地、建筑物、宅院或物业单位的租赁,亦有权将款项投资于任何土地、建筑物、宅院或物业单位的按揭,或投资于任何政府、市政府、法团或公司的按揭、债权证、股额、资金、股份或证券、保证,以及有权购买、获取和管有任何性质及种类的货品及实产。
(3)受托人更进一步有权按其认为适合的条款,将当其时归属受托人的任何土地、建筑物、宅院、物业单位、按揭、债权证、股额、资金、股份或证券、保证或其他货品及实产批出、出售、转易、转让、退回、交换、分划、交出、按揭、批租、再转让、移转或以其他方式处置。
(4)须盖上受托人印章的一切契据及其他文书,须在当其时身居受托人一职的人面前盖章,并须由他签署,而上述契据及文书,以及须代表受托人签署的一切其他文件、文书及文字,须由上述身居受托人一职的人签署。
第1091章 第5条基金以信托形式持有
受托人须以信托并以本条例下文所载权力及条文,以及在该等权力及条文的规限下,持有基金。
第1091章 第6条管理委员会
(1)现设立一个委员会,由该委员会管理基金。
(2)委员会的成员如下─
(a)创办人的主席,由他出任委员会主席;
(b)创办人董事一名,藉创办人董事局的决议委任;
(c)创办人的经理人;
(d)藉创办人董事局的决议委任的其他成员不超过三名。(3)第(2)款(a)及(c)段指名的人,在出任其各自的职位时,为委员会的当然成员。
(4)每名依据第(2)款(b)及(d)段委任的成员,任期为一段固定的三年期间,或任职至其委任藉创办人董事局的决议而被撤销并有新成员藉上述决议获委任以代替他为止。成员在任期届满后,可获再度委任,任期与前述者类似,或由新委任的成员代替他。
第1091章 第7条信托
受托人须以委员会指示的方式运用基金,包括资本及其收益,以促进及鼓励教育,尤其是委员会认为值得承受本信托利益的创办人雇员子女的教育,但委员会须先考虑该等子女的才智、品格及行为(按委员会藉观察、报告或其他方式而觉得者),以及其父母作为创办人雇员的品格及服务年资及素质。
第1091章 第8条颁发的相隔期间、条款及条件
奖学金、生活资助及为购置教科书所支付的款项,以及就委员会认为合适并直接或间接与第7条所列的基金主要宗旨相关的其他用途所支付的款项,包括颁发奖项,须在委员会所订立的规例不时订明的相隔期间颁发,并须在上述规例不时订明的期间和在上述规例不时订明的条款及条件的规限下持有和享有,如没有订立上述规例,则上述各项由委员会决定(不论决定是否具追溯效力);委员会可在任何时间更改或撤销根据本条订立的规例,并订立新规例以作代替。
第1091章 第9条投资项目
受托人可按照委员会指示,将基金作出投资和持续投资,而不论该等投资项目是否获准供信托基金投资,该等投资项目亦可以同样方式于任何时间予以更改。
第1091章 第10条帐目及审计
(1)受托人须安排为基金的一切收入及支出备存妥善的帐目,而该等帐目须由创办人董事局不时委任的一名或多于一名核数师每年最少审计一次。
(2)一份上述帐目,连同一份委员会就上一学年的基金管理所作的报告,须于每年不迟于12月31日由委员会呈交创办人董事局。
(3)委员会可就该等帐目及报告以委员会认为适合的方式发表,拟定常规,并可不时更改、撤销或更换该等常规。
第1091章 第11条受雇人及顾问
(1)委员会可按其认为恰当的薪金及条款,聘用其认为为执行本条例条文所需的受雇人,亦可雇用任何专业人士,就因该等条文而引起或与该等条文相关的事宜,向委员会提供意见。
(2)任何获如此聘用或雇用的人,其全部薪金及费用须由受托人从基金拨款支付。
第1091章 第12条管理费用
管理基金的费用须从基金中拨款支付。
第1091章 第13条某些情况下基金成为葛量洪奖学基金的一部分
如有创办人清盘或不再是本港雇员的直接雇主的情况,基金即成为根据《葛量洪奖学基金条例》(第1076章)设立的葛量洪奖学基金的一部分,并当作已交予该奖学基金,而不受于发生上述情况时就基金而存续的所有信托限制,并且此后本条例条文不再适用于基金。

Cap 1091 Preamble
WHEREAS-
(a) Hongkong Tramways Limited (hereinafter called the Founders) marked the fiftieth anniversary of the running of the first tramcar in Hong Kong by allocating funds for the establishment of a trust in 1954 and have made a further allocation of funds for the same purpose in 1955 which said funds are held in cash together with interest accrued thereon or have been used to purchase shares;
(b) the Founders have dedicated the fund as hereinafter defined and accretions thereto in perpetuity for the promotion and encouragement of education of selected children of employees and ex-employees of the Founders;
(c) it is desirable to incorporate the Chairman of the Committee set up under section 6 to act as Trustee of the trust fund as hereinafter defined:
Cap 1091 s 1 Short title
This Ordinance may be cited as the Hong Kong Tramways Educational Trust Fund Ordinance.
Cap 1091 s 2 Interpretation
In this Ordinance, unless the context otherwise requires-
'Committee' (委员会) means the Committee established under section 6;
'employee of the Founders' (创办人雇员) includes a former employee of the Founders;
'Founders' (创办人) means Hongkong Tramways Limited.
Cap 1091 s 3 Establishment of trust fund
(1) There is hereby established a trust fund to be known as the Hong Kong Tramways Educational Trust Fund, hereinafter called the Fund.
(2) The Fund shall consist of cash and shares together with any sums accumulated by way of dividends or interest thereon, bonus issues of shares and such other moneys and assets as may from time to time be given to the Fund, and such moneys or investments as shall from time to time represent the same.

(1) The Chairman of the Committee shall be the Trustee of the Fund, hereinafter referred to as the Trustee, and shall be a body corporate and shall have the name 'The Trustee of the Hong Kong Tramways Educational Trust Fund', and in that name shall have perpetual succession, and shall and may sue and be sued in all courts in Hong Kong and shall and may have and use a common seal, and may from time to time break, change, alter and make anew the said seal. (Amended 55 of 2000 s. 3)
(2) The Trustee shall be empowered to act as Trustee and whilst so acting shall have power to acquire, accept leases of, purchase, take, hold and enjoy, any lands, buildings, messuages or tenements of whatsoever nature or kind and wheresoever situate, and also to invest moneys upon mortgage of any lands, buildings, messuages or tenements or upon the mortgages, debentures, stocks, funds, shares or securities of any government, municipality, corporation, or company and also to purchase, acquire and possess goods and chattels of whatsoever nature and kind.
(3) The Trustee shall further have power to grant, sell, convey, assign, surrender, exchange, partition, yield up, mortgage, demise, reassign, transfer, or otherwise dispose of any lands, buildings, messuages, tenements, mortgages, debentures, stocks, funds, shares or securities or other goods and chattels whatsoever which are for the time being vested in the Trustee upon such terms as to the Trustee may seem fit.
(4) All deeds and other instruments requiring the seal of the Trustee shall be sealed in the presence of the occupant of the Trustee for the time being and shall also be signed by him and such deeds and instruments, and all other documents, instruments and writings requiring a signature on behalf of the Trustee shall be signed by such occupant.
Cap 1091 s 5 Fund to be held upon trusts
The Trustee shall hold the Fund upon the trusts, and with and subject to the powers and provisions, hereinafter in this Ordinance contained.
Cap 1091 s 6 Committee of management
(1) There shall be a Committee who shall have the management of the Fund.
(2) The Committee shall consist of-
(a) the Chairman of the Founders who shall be Chairman of the Committee;
(b) a Director of the Founders appointed by resolution of the Board of Directors of the Founders;
(c) the Manager of the Founders;
(d) such other members not exceeding three as may be appointed by resolution of the Board of Directors of the Founders.(3) The persons named in paragraphs (a) and (c) of subsection (2) shall whilst holding their respective offices be ex officio members of the Committee.
(4) Every member appointed pursuant to paragraphs (b) and (d) of subsection (2) shall hold office for a fixed period of three years or until such time as his appointment is revoked and a new member appointed in his place by resolution of the Board of Directors of the Founders. Upon expiry of any such term of office a member may be re-appointed for a further similar term or a new member may be appointed in his place.
Cap 1091 s 7 Trusts
The Trustee shall apply the Fund including the capital and the income thereof in such manner as the Committee may direct for the promotion and encouragement of education and, in particular, for the education of such children of employees of the Founders as the Committee shall consider to be worthy of receiving the benefits of this trust, having regard to the intelligence, character and conduct of such children (as may appear to the Committee by observation, report or otherwise) and to the character and length and quality of service of their fathers and mothers as employees of the Founders.
Cap 1091 s 8 Intervals and terms and conditions of awards
Scholarships, maintenance grants and payments to cover text books and for such other purposes including the award of prizes directly or indirectly connected with the primary purposes of the trusts as set out in section 7 as the Committee shall deem appropriate shall be awarded at such intervals, and shall be held and enjoyed for such period, and subject to such terms and conditions, as shall from time to time be prescribed by regulations made by the Committee, and in default of such regulations then as the Committee shall determine, whether retrospectively or not; and the Committee may at any time alter or revoke regulations made under this section and make new regulations in place thereof.
Cap 1091 s 9 Investments
The Trustee may invest the Fund and keep the same invested whether or not any such investment is permitted for the investment of trust funds, as the Committee may direct, and in like manner such investments may at any time be varied.
Cap 1091 s 10 Accounts and audit
(1) The Trustee shall cause proper accounts to be kept of all income and expenditure of the Fund and such accounts shall be audited at least once in every year by an auditor or auditors appointed from time to time by the Board of Directors of the Founders.
(2) A copy of such accounts together with a copy of a report by the Committee upon the administration of the Fund during the previous academic year shall be submitted by the Committee to the Board of Directors of the Founders not later than 31 December in every year.
(3) The Committee may frame standing orders for the publication of such accounts and report in such manner as the Committee shall think fit and may alter, revoke or replace such standing orders from time to time.
Cap 1091 s 11 Servants and advisers
(1) The Committee may appoint upon such salary and upon such terms as it may think proper such servants as it may think necessary for the purpose of carrying out the provisions of this Ordinance and may employ any professional persons to advise it on any matter arising out of or in connection with such provisions.
(2) All salaries and fees of any persons so appointed or employed shall be paid by the Trustee out of the Fund.
Cap 1091 s 12 Costs of administration
The costs of administering the Fund shall be paid out of the Fund.
Cap 1091 s 13 Fund to form part of Grantham Scholarships Fund in certain events
In the event either of the Founders going into liquidation or of the Founders ceasing to be direct employers of employees in Hong Kong, the Fund shall form part of and shall be deemed to have been given to the Grantham Scholarships Fund established by the Grantham Scholarships Fund Ordinance (Cap 1076), freed from all trusts subsisting in respect thereof at the time of such event, and thereafter the provisions of this Ordinance shall cease to be applicable to the Fund.

Nothing in this Ordinance shall affect or be deemed to affect the rights of the Central Authorities or the Government of the Hong Kong Special Administrative Region under the Basic Law and other laws, or the rights of any body politic or corporate or of any other persons except such as are mentioned in this Ordinance and those claiming by, from or under them.
